BRAMBLE FOODS SECURES INVESTMENT FROM LDC

BUSINESS OVERVIEW

Bramble Foods is a manufacturer and distributor of fine foods, supplying into a national customer base of farm shops, garden centres, independent retailers and holiday parks across the gift, tourism and leisure markets. Bramble manufactures and supplies over 2,000 high-quality products ranging from preserves, pickles, chutneys and sauces to cakes, biscuits, confectionery, hampers and seasonal goods.

Orbis have been working with the shareholders on their succession plans for a number of years, which culminated in LDC investing for a significant minority stake.

LDC’s backing will enable the management team to consolidate its market-leading position by supporting further organic growth and investment in Bramble’s in-house manufacturing capabilities, along with the targeting of complementary business acquisitions across the supply chain.

OUR ROLE

Orbis worked with the shareholders of Bramble Foods to advise on the sale strategy and to lead the sale process.  Specifically, we:

• Spent time with the shareholders to understand the unique selling points of the business and presented these in the IM.
• Utilised their detailed knowledge of the business and the sector to identify appropriate potential buyers.
• Assisted the shareholders to select a strong financial buyer which they believed would unlock growth for the business as well as delivering a good price for shareholders.
• Helped to produce an integrated monthly forecast to present to buyers and to model the impact of specific deal structures.
• Managed the preparation and flow of information throughout the diligence process.
• Ensured effective liaison and communication between both parties throughout the deal process to deliver a successful outcome.
• Assisted with negotiating key commercial aspects of the legal documents to ensure the successful completion of the deal.
• Overall project management through to a successful conclusion.
