Forward Approach was the largest residential childcare provider in South Wales caring for children with complex emotional and behavioural difficulties. The Company provided medium to long-term residential care to young people between the ages of 11 to 17.

The Shareholders, having developed the business from start-up wanted to exit and realise value in the business they had built up.

Orbis were a great help to the shareholders in preparing and presenting the business to buyers to maximise the offers received. Orbis’ input helped us to secure a great deal for the shareholders and a great future for the business.

OUR ROLE

Orbis Partners were appointed to sell Forward Approach and realise a strategic value for the Shareholders. Orbis initially undertook a strategic review to establish key buyers and identify a process to realise strategic value.

During the review process, we identified that the fee rates were below market value. We subsequently delayed the sale process in order to address the fees to reflect market rates and hence improve profitability.

Forward Approach was subsequently sold to New Horizons, which was a venture capital backed business.

Specifically, Orbis:

  • Identified and approached a number of strategic buyers
  • Prepared an in-depth working capital and net debt analysis to maximise net proceeds at completion
  • Managed the preparation and flow of information throughout the due diligence process on behalf of the shareholders
  • Negotiated on price and terms to ensure the best deal for our client
